The Role

Reporting to the President of Wpromote, the Senior Counsel will be responsible for handling a wide variety of legal matters that arise within the Company’s digital marketing businesses, as well as the ability to work with the Company’s multi-faceted business units. The ideal candidate would be an experienced legal counsel in the marketing and media space, who has deep expertise in structuring, drafting, and negotiating a wide range of agreements. This practice will also include data privacy, compliance, risk and safety, employment and labor issues, policy and protocol creation, crisis management, and litigation.

The anticipated annual salary for this role will range from $175,000 – $225,000, based on consideration of a wide array of factors unique to each candidate, including but not limited to skill set, years and depth of experience, education and certifications, competitive benchmarks, scope of responsibility, market dynamics, geographic location, and respective state’s salary threshold for exempt employees. The total compensation package for this role will include benefits (listed above) and an annual performance bonus.

This role has an associated annual target bonus component which is paid out based on a number of factors which include Company performance, department performance, and individual performance. Bonuses are not guaranteed and you must be an active employee in good standing and not on a Performance Improvement Plan to be eligible for the annual bonus.

You Will Be

  • Counseling C-Team, HR and business unit leaders in a wide range of issues relating to digital marketing, including intellectual property, consumer marketing laws, employment, rights of publicity and privacy, custom content and advertising law, and data privacy
  • Structuring, drafting, reviewing and negotiating all manner of complex commercial agreements, including customer, marketing, technology and employment agreements
  • Structuring, negotiating and executing strategic transactions, including mergers and acquisitions, strategic partnerships, joint ventures and global licensing initiatives
  • Developing, maintaining, and ensuring compliance with the Company’s policies, procedures and standards
  • Managing and directing relationships with outside counsel
  • Assisting with all other legal matters relating to the Company’s various businesses including data security, privacy and labor and employment matters
  • Responding to claims and managing litigation with outside counsel
  • Developing a strong rapport and working relationship with members of the leadership team and business counterparts on process and contracting improvements to help create greater consistency and process within the organization, including appropriate contract standardization and contract process improvement
  • Identifying trends, stay abreast of material developments and provide high level legal advice to the businesses on emerging opportunities and risks from a commercial perspective

You Must Have

  • 5-7 years of relevant experience with at least 2 years as in-house counsel and a law degree from an ABA accredited school
  • Juris Doctor and membership in good standing with the New York Bar or California Bar, or the ability to register as In-House Counsel in New York or California
  • Experience working with digital marketing and/or traditional media strongly preferred.
  • Experience counseling and advising business unit leaders and department heads and members of their teams on all manner of legal and business issues
  • Sales and media contract law experience, specifically in the following areas:
  • Agency Service Agreements
  • Celebrity Talent Agreements
  • FTC Compliance Analysis
  • Campaign Legal Review
  • Media Clearance
  • Good working knowledge of privacy, data security, custom content, native advertising and social media
  • Ability to work autonomously and independently, while being able to contribute successfully to cross-functional teams. This role is an individual contributor.
  • Sound and practical business judgment with the ability to be adaptable and provide a creative approach to problem-solving
  • High comfort level with a wide range of legal issues and subject matters
  • High personal standards of excellence and ethics, as well as the ability to act with discretion, strict confidentiality and sensitivity towards issues and individuals
  • Strong knowledge of key legal concepts and levers in negotiations
  • The skills to build strong working relationships and collaborate closely with key cross-functional stakeholder
